Welcome to MIDY! These Terms and Conditions outline the rules and regulations for the use of our website, located at midy.nighthink.com (the "Service"). By accessing this website, you agree to be bound by these Terms and Conditions.
1.1. MIDY is a tool that allows users to generate melodies and chord progressions ("Generated Content") using both algorithmic and AI-powered generation.
1.2. The Service offers two generation modes: Quick Generate (free, unlimited, algorithmic) and AI Compose (credit-based, powered by third-party AI models).
1.3. The content generated by MIDY is provided for personal and commercial use under the conditions outlined in Section 4.
1.4. You agree not to misuse the Service, including but not limited to reverse-engineering, spamming, or accessing the Service using automated means without prior authorization.
2.1. To use AI Compose, you must create an account by providing a valid email address and password.
2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3. You must provide accurate and complete information when creating your account.
2.4. We reserve the right to suspend or terminate accounts that violate these Terms.
3.1. AI Compose requires credits to operate. Each AI generation costs 1 credit.
3.2. New accounts receive 5 free credits upon registration.
3.3. Additional credits can be purchased in packs via our payment provider, Stripe. Prices are displayed at the time of purchase and are in Euros (€).
3.4. Credits do not expire and are non-transferable between accounts.
3.5. All payments are processed securely by Stripe. We do not store your payment card information.
3.6. Due to the digital nature of credits, purchases are generally non-refundable unless required by applicable law. If you experience technical issues preventing you from using purchased credits, contact us at dev@nighthink.com.
4.1. The technology behind MIDY, including its software, algorithms, and design, is the intellectual property of MIDY and its owner.
4.2. All intellectual property rights for the Generated Content are transferred to you, the user, at the time of creation. We claim no ownership over the melodies you generate.
4.3. MIDY's brand, logo, and other visual media are our property and may not be used without explicit permission.
5.1. You retain full ownership rights of the original melodies generated through MIDY. We do not claim any ownership of your creations.
5.2. You are free to use, modify, distribute, or sell the melodies you create for any purpose, commercial or non-commercial. MIDY is not responsible for any legal disputes arising from your use of such melodies.
5.3. You are encouraged to credit MIDY when using the generated melodies for commercial purposes, though this is not mandatory.
6.1. You are responsible for ensuring that your use of the Generated Content does not violate any copyright laws or third-party intellectual property rights.
6.2. You agree not to use MIDY for any unlawful purposes.
6.3. We may suspend or terminate your access to the Service if you breach these Terms.
7.1. The AI Compose feature uses third-party AI models (currently OpenAI's GPT-4). By using AI Compose, you also agree to be bound by OpenAI's usage policies.
7.2. We are not responsible for the specific content generated by the AI model, though we implement filters and guidelines to ensure quality and appropriateness.
8.1. The Service is provided "as is" and "as available." We make no warranties, expressed or implied, regarding the Service's accuracy, reliability, or availability.
8.2. We do not guarantee that the melodies generated will meet your specific requirements or expectations.
9.1. MIDY, its owner, and affiliates will not be liable for any direct, indirect, incidental, or consequential damages arising out of your use of the Service.
10.1. Your privacy is important to us. Please review our Privacy Policy to understand how we collect and protect your information.
11.1. We reserve the right to modify or discontinue the Service at any time without notice.
11.2. We may also update these Terms from time to time. By continuing to use the Service after any revisions, you agree to be bound by the updated Terms.
12.1. These Terms and Conditions shall be governed and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.
